Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, connected display devices and cloud services (together, the "Services") provided by Cary Innovation Limited (凱瑞科技創新有限公司) ("Cary Innovation", "we", "us" or "our"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

2. Licence to use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use our applications and to access our cloud services for your personal or internal business purposes. All software, firmware, user interfaces, documentation and other materials forming part of the Services remain the property of Cary Innovation or its licensors.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile or attempt to extract the source code of any software or firmware, except where permitted by law.
• Use the Services to upload or distribute content that is unlawful, infringing, defamatory or otherwise objectionable.
• Interfere with the security or integrity of the Services, including by probing, scanning or testing vulnerabilities without our written authorisation.
• Use automated means to access the Services in a manner that sends more requests than a human could reasonably produce.
• Resell or sublicense the Services without our prior written consent.

4. Your content

You retain ownership of the photos, videos and other content you upload to the Services. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit and display that content solely to the extent necessary to provide the Services to you. You represent that you have the rights necessary to upload the content and that it does not infringe the rights of any third party.

5. Devices and hardware

Hardware products are supplied subject to the warranty terms provided at the point of sale. Devices depend on our cloud services for certain features, and we may update device software from time to time to maintain security and functionality. We will use reasonable efforts to give notice before discontinuing any cloud service on which a device depends.

6. Fees

Some Services may be offered on a paid basis. Fees, billing cycles and refund terms will be disclosed at the time of purchase. Unless otherwise stated, fees are quoted in Hong Kong dollars and are exclusive of applicable taxes.

7. Intellectual property

"Cary Innovation", our logo and our product names are trademarks of Cary Innovation Limited. Nothing in these Terms grants you any right to use our trademarks without our prior written permission.

8. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

9. Disclaimer of warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure.

10. Limitation of liability

To the maximum extent permitted by law, Cary Innovation shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, arising out of or in connection with the Services. Our total aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid to us for the Services in the twelve months preceding the claim.

11. Indemnity

You agree to indemnify and hold harmless Cary Innovation and its officers, employees and agents from any claim, loss or expense arising out of your breach of these Terms or your misuse of the Services.

12. Suspension and termination

We may suspend or terminate your access to the Services if you breach these Terms or if required by law. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination will survive.

13. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. The updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

本服務條款（下稱「本條款」）規範你存取及使用凱瑞科技創新有限公司（Cary Innovation Limited，下稱「凱瑞科技」、「我們」）提供的網站、流動應用程式、聯網顯示設備及雲端服務（統稱「本服務」）。使用本服務即表示你同意本條款。如你不同意，請勿使用本服務。

1. 資格與帳戶

你必須年滿 18 歲或達到你所在司法管轄區的法定成年年齡方可建立帳戶。你有責任妥善保管登入憑證，並對你帳戶下的所有活動負責。如發現任何未經授權的使用，請立即通知我們。

2. 服務使用授權

在遵守本條款的前提下，我們授予你有限、非專屬、不可轉讓、可撤銷的授權，以安裝及使用我們的應用程式，並為個人或內部業務目的存取我們的雲端服務。構成本服務一部分的所有軟件、固件、用戶界面、文件及其他材料，其所有權均屬凱瑞科技或其授權方。

3. 可接受使用

你同意不會：

• 對任何軟件或固件進行逆向工程、反編譯或嘗試提取源代碼，法律允許者除外。
• 利用本服務上載或傳播違法、侵權、誹謗或其他令人反感的內容。
• 干擾本服務的安全性或完整性，包括在未經我們書面授權的情況下探測、掃描或測試漏洞。
• 以自動化方式存取本服務，且發送的請求量超出人類合理操作範圍。
• 未經我們事先書面同意轉售或再授權本服務。

4. 你的內容

你保留上載至本服務的相片、影片及其他內容的所有權。你授予我們全球性、非專屬、免版稅的授權，僅在向你提供本服務所必需的範圍內託管、儲存、傳輸及顯示該等內容。你聲明你擁有上載該等內容所需的權利，且該等內容不侵犯任何第三方的權利。

5. 設備與硬件

硬件產品按銷售時提供的保養條款供應。設備的部分功能依賴我們的雲端服務，我們可能不時更新設備軟件以維持安全性及功能。在終止任何設備所依賴的雲端服務前，我們會盡合理努力提前通知。

6. 費用

部分服務可能以收費方式提供。費用、計費週期及退款條款會在購買時披露。除另有說明外，費用以港元計算，並不包括適用稅項。

7. 知識產權

「Cary Innovation」、我們的標誌及產品名稱均為凱瑞科技創新有限公司的商標。未經我們事先書面許可，本條款不授予你使用我們商標的任何權利。

8. 私隱

我們對個人資料的收集及使用載於私隱政策，該政策構成本條款的一部分。

9. 免責聲明

本服務按「現狀」及「可用」基礎提供。在法律允許的最大範圍內，我們不作任何明示或暗示的保證，包括適銷性、特定用途適用性及不侵權的保證。我們不保證本服務不會中斷、沒有錯誤或絕對安全。

10. 責任限制

在法律允許的最大範圍內，凱瑞科技對因本服務引起或與之相關的任何間接、附帶、特殊、後果性或懲罰性損害，或任何數據、利潤或商譽損失概不負責。就本條款引起的任何索償，我們的總責任上限為你在索償前十二個月內就本服務向我們支付的金額。

11. 彌償

你同意就因你違反本條款或濫用本服務而引起的任何索償、損失或開支，向凱瑞科技及其高級人員、僱員及代理作出彌償並使其免受損害。

12. 暫停與終止

如你違反本條款或法律要求，我們可暫停或終止你對本服務的存取。你可隨時停止使用本服務並刪除帳戶。按其性質應在終止後繼續有效的條款將繼續有效。

13. 服務及條款的變更

我們可能不時修改本服務或本條款。更新後的條款會在本頁發佈並註明新的「最後更新」日期。變更生效後你繼續使用本服務，即視為接受更新後的條款。

14. 管轄法律

本條款受香港特別行政區法律管轄。因本條款引起或與之相關的任何爭議，均由香港法院專屬管轄。
